NUS WMS Trial and Demo Environment Terms

This document supplements the NUS WMS General Terms of Service (v2026-09-29) and the Market Offers — for Residents of Ukraine (https://wms.com.ua/uk/legal/offer-ua) and for Non-residents (https://wms.com.ua/uk/legal/offer-nr) — with respect to free trial access (the Trial) and the use of the Demo Environment. Terms are used in the meanings given in the General Terms, as supplemented by this document.

1. Demo Environment

1.1. Purpose

The Demo Environment is a separate instance of the NUS WMS Service filled with demonstration data and intended solely for getting acquainted with the functionality of the Service without concluding an Agreement for paid Services.

1.2. Access

• Address of the Demo Environment: https://demo.wms.com.ua.
• Access is provided with shared temporary credentials published on the Demo Environment page or through a one-time registration.

1.3. Specific conditions

• Every night (00:00 — 02:00 Kyiv time) the database of the Demo Environment is fully reset. Any data entered by users of the Demo Environment is irretrievably deleted.
• The Demo Environment is not covered by the SLA (Section VI of the General Terms).
• The Provider may change the content or the operating mode of the Demo Environment, or temporarily switch it off, without prior notice.
• It is prohibited to upload real personal or commercial data to the Demo Environment or to use the Demo Environment for full-scale record keeping.

1.4. Legal nature

The use of the Demo Environment does not mean the conclusion of the Agreement and does not create any obligation of the Provider to provide paid Services.

2. Trial (free trial access)

2.1. Trial parameters (for edition v2026-09-29)

2.2. Activation of the Trial

The Client initiates the activation of the Trial in the Customer Portal of the Service upon first registration. At the activation stage, the Client shall:

• read the current editions of the General Terms, the Offer of the relevant market, the Pricing and these Trial Terms;
• confirm its accession to them by ticking the relevant checkboxes and clicking the "Start Trial" button.

The electronic records of the Provider's system recording the Client's Acceptance (with the versions and SHA-256 hashes of all the above documents, the IP address, the timestamp and the Client's details) constitute evidence of the conclusion of the Agreement for the Trial.

2.3. End of the Trial

3 (three) calendar days before the end of the Trial, the Provider sends the Client an email notification offering to take out a paid subscription.

After the end of the Trial without a paid subscription being taken out:

• access to the Service is suspended;
• the data of the Tenants of the Account is retained for 30 (thirty) calendar days, during which paid Services may be activated and work continued without loss of data; a separate function for downloading (exporting) the data is not provided (clause 14.5 of the General Terms);
• after 30 days, if there is no paid subscription, the data of the Tenants is irretrievably deleted, and the deletion is confirmed to the Client by email.

2.4. Transition from the Trial to paid Services

Upon payment for the Services before or after the end of the Trial, the Agreement switches to the mode of paid Services in accordance with Sections III — IV of the General Terms and Section V of the Offer of the relevant market. The Trial period is not counted towards the paid term of the Services.

2.5. Restrictions

• The Trial is provided to each Client once. Repeated activation of the Trial for the same Account, EDRPOU code (for a non-resident — company registration number) or email is not permitted.
• The Provider reserves the right to refuse to activate the Trial where there are reasonable grounds (in particular, an attempt to circumvent the restrictions of clause 2.5).

3. Application of the General Terms and the Market Offers to the Trial

The provisions of the General Terms and the Offer of the relevant market apply to the Trial with the following exceptions:

Switching to another provider	Does not apply — the Trial and the Demo Environment are non-production versions of the Service for testing and evaluation: the Trial is provided for a limited period, and the Demo Environment data is reset nightly, so Chapter VI of Regulation (EU) 2023/2854 (Data Act) does not apply to them (Article 31(2))
All other Sections	Apply in full (including restrictions on use, intellectual property and personal data processing)

4. Amendments to the Trial Terms

The Provider may unilaterally amend these Trial Terms (in particular, the duration of the Trial and the maximum number of Users) by publishing a notice at https://wms.com.ua/en/legal/trial-terms-en no later than 7 (seven) calendar days before the amendments take effect.

New Trial Terms apply only to Trials activated after they take effect. Trials already active continue on the terms in force at the moment of their activation.
